Terms of Service
1. Acceptance of Terms
By accessing or using any website, mobile application, portal, API, or other online service operated by Sankhara LLC ("Sankhara," "we," "our," or "us"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not access or use the Services.
2. Changes to the Terms
We may modify these Terms at any time. Material changes will be posted on the Site or sent to the email associated with your account. Continued use after the "Last updated" date constitutes acceptance of the revised Terms.
3. Eligibility & Account Registration
You must be (a) at least 18 years old and (b) legally able to form a binding contract to use the Services. You agree to provide accurate, current information and to keep it updated. You are responsible for safeguarding your credentials; any activity under your account is deemed yours.
4. Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. Except where explicitly allowed, you may not:
- Copy, modify, distribute, or create derivative works based on the Services or content;
- Reverse-engineer or attempt to obtain source code;
- Circumvent security features or access areas you are not authorized to use;
- Upload viruses, malware, or other harmful code;
- Use automated means (scrapers, spiders, bots) to access the Services;
- Use the Services to violate any applicable law, regulation, or third-party right.
5. User Content
You retain ownership of content you submit ("User Content"), but grant Sankhara a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, modify (only for formatting), and distribute such content for the purpose of operating the Services. You represent that you have all rights necessary to grant this license.
6. Intellectual Property
All content, trademarks, logos, and software that we provide (collectively, "Sankhara Materials") are owned by Sankhara or its licensors and are protected by intellectual-property laws. Except for the limited license granted herein, you receive no right, title, or interest in any Sankhara Materials.
7. Third-Party Links & Services
The Services may contain links to third-party sites or integrate third-party services (e.g., Supabase, Vercel, Twilio). We do not control and are not responsible for third-party content or practices. Your interactions with third-party services are solely between you and that provider.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SANKHARA DISCLAIMS ALL WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—including MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANKHARA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (a) US $100 OR (b) THE AMOUNT YOU PAID US FOR THE SERVICES IN THAT PERIOD.
10. Indemnification
You will indemnify, defend, and hold harmless Sankhara and its affiliates from any claim, demand, loss, or damages arising out of (a) your use of the Services; (b) your User Content; or (c) your violation of these Terms or any law.
11. Termination
We may suspend or terminate your access at any time for any or no reason. Upon termination, Sections 5–14 survive, along with any other section that by its nature should survive.
12. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Arbitration. Any dispute arising out of or related to these Terms or the Services will be resolved by binding arbitration administered by JAMS under its Streamlined Rules. The arbitration will take place in San Francisco, California. Judgment on the award may be entered in any court of competent jurisdiction. Class-Action Waiver. You and Sankhara agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
13. Export Compliance
You may not use, export, or re-export the Services except as authorized by United States law and the laws of the jurisdiction in which the Services were obtained.
14. Miscellaneous
- Entire Agreement. These Terms constitute the entire agreement between you and Sankhara regarding the Services and supersede all prior agreements, whether written or oral.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
- No Waiver. Failure to enforce any right is not a waiver of future enforcement.
